H.B. Fuller Receives Shareholder Approval of Proposed AMS Acquisition

H.B. Fuller announced that shareholders of Advanced Medical Solutions (AMS) approved H.B. Fuller’s proposed acquisition of AMS.

The approval of AMS shareholders represents a significant milestone towards the completion of the transaction. It follows the agreement on the terms of a recommended cash acquisition previously announced by both companies on June 25, 2026. 

The transaction is expected to close by the end of the calendar year, subject to satisfaction or waiver of the remaining conditions set forth in the transaction documents. Celeste Mastin, president and chief executive officer of H.B. Fuller, said: "AMS is a rare strategic fit that advances our vision for the future of H.B. Fuller. By combining AMS's leading medical technologies, innovation expertise, and regulatory capabilities with H.B. H.B. Fuller, with a 2025 revenue of $3.5 billion, is the largest pureplay adhesives company in the world. The announcement of AMS shareholders' approval comes shortly after the St. Paul, Minnesota-based US chemical company received an unsolicited proposal from Ancora Holdings to acquire its Building Adhesives Solutions business for between $1.1 billion and $1.2 billion in cash.
